FRIENDS OF THE LIBRARY OF FLAGLER COUNTY
AMENDED BYLAWS
Article I
NAME
Section 1. The name of the organization shall be "Friends of the Library of Flagler County."
Article II
PURPOSE
Section 1. The purpose of this organization shall be to create an association of people interested in books and libraries; to focus public attention on library facilities, services and needs; and to stimulate gifts of books, magazines, desirable collections, endowments and bequests.
Section 2. To apprise city and county officials of the importance of their role in support of a county library system.
Section 3 To assist in the development of a program for the extension and improvement of library services and resources that may adequately serve the needs of the steadily increasing population of our cities and county.
Section 4 To promote knowledge of the functions, resources, services and needs of the libraries.
Section 5 To encourage gifts or memorials of funds, books, art objects and others.
Section 6 To engage in fund raising activities.
Section 7 To sponsor programs designed to add to the cultural life of the county.
Article III
MEMBERSHIP
Section 1. Membership in this organization shall be open to all individuals and organizations in sympathy with its purposes.
Section 2. Each member shall be entitled to one vote.
Article IV
OFFICERS
Section 1. The elected officers of this association shall be a: President, Vice President, Secretary, Corresponding Secretary, and Treasurer.
Section 1.A. The Executive Board shall consist of the elected officers, Library Director and committee chairmen.
Section 2. Officers shall be nominated by a Nominating Committee composed of two members of the Executive Board and one from the general membership. No one shall be nominated without his/her consent. Additional nominations may be made from the floor at the meeting prior to the annual meeting.
Section 3. Officers shall be elected at the annual November meeting. Ten members shall constitute a quorum.
Section 4. The term of office shall be for two years with re-election for one succeeding term. The term shall begin in January following the annual November meeting.
Section 5. The officers shall have the usual duties and authority exercised by officers of a non-profit organization. The appointed Board members are to be assigned specific duties by the President and in the President’s absence by the Vice President.
Section 6. The President shall be ex-officio member of all committees except the Nominating Committee.

Section 7. The Treasurer and President are required to sign all checks in amounts exceeding $500.00 (five hundred dollars).
Article V
GENERAL MEETINGS
Section 1. This organization shall hold at least two general meetings a year to conduct business and provide programs. An annual meeting shall be held in November of each year.
Section 2. Members shall be notified through the press at least two weeks prior to the date of the meeting.
Section 3. Meetings of the Executive Board shall be held in the week prior to any business meeting. Special meetings of the Board may be held at the discretion of the President or three members of the Board.
Article VI
DUES
Section 1. The Executive Board shall determine the annual dues. The fiscal year of the Friends of the Library of Flagler County shall begin on January 1st.
Article VII
AMENDMENTS
Section 1 Amendments to these bylaws may be made at the annual meeting of the general membership at which there is a quorum. Copies of any proposed amendments will be available at the library at least two weeks prior to the annual meeting.
Section 2 Robert’s Rules of Order, Revised & Newly-Revised when not in conflict with these bylaws shall govern the proceedings of this organization.
